Lumnae Affiliate Program — Terms & Conditions

These Terms and Conditions ("Terms") govern participation in the Lumnae Affiliate Program (the "Program"), operated by ELM Company FZ-LLC, trading as Lumnae ("Lumnae", "we", "us"), a UAE-based company selling FDA-cleared LED face masks and FDA-registered red light therapy panels at lumnae.com.

By registering as an affiliate ("Affiliate", "you") and participating in the Program, you agree to be bound by these Terms in full. If you do not agree, you are not authorized to register or participate in the Program in any manner.

1. Eligibility & Registration

• Lumnae reserves the right to approve or reject any Program registration at its sole and absolute discretion, without obligation to provide a reason.
• You have no legal recourse against Lumnae for a rejected or revoked registration.
• You must provide accurate contact and payment information and keep it up to date.

2. Affiliate Links & Coupon Codes

• Your affiliate link is generated automatically and may also be generated for a specific product or collection.
• Where a customer clicks more than one affiliate's link, the last click before purchase determines which affiliate earns the commission.
• You may be assigned a dedicated coupon code. If a customer both clicks your link and uses your coupon, you will not receive a double commission.
• If you have not been assigned a branded coupon code, you are not authorized to promote a coupon on Lumnae's behalf.
• You may promote lumnae.com through online channels (Instagram, TikTok, YouTube, blogs, etc.) or offline channels (print, events), provided this complies with Section 5 (Content, Product Claims & Compliance) and Section 6 (Prohibited Conduct).

3. Commissions & Payment

• Commission rate: 10% of the order value (excluding VAT, shipping and any other fees) for standard affiliates and content creators; 15% for verified medical and healthcare professional affiliates (e.g. doctors, dermatologists), on any completed purchase made through your affiliate link or coupon code.
• Currency: commissions are calculated and paid in AED.
• Commissions are only payable on orders that have been successfully completed and delivered. Orders that are refunded, cancelled or charged back are not commissionable; any commission already paid on them will be deducted from your next payout.
• Payment schedule: commissions are paid monthly, in arrears, once you have supplied valid payment details in the Program dashboard.
• Minimum payout threshold: AED 400, once your accumulated unpaid commission reaches this amount. Balances below the threshold roll over to the following month.
• Lumnae reserves the right to review any referred order for compliance with these Terms before paying a commission (fair use policy).

4. Marketing Materials

• Lumnae may provide approved marketing assets (banners, logos, product images, key claims) via the Program dashboard or directly.
• You may use these assets only as provided, without altering product images, certifications, or claims language.
• Any content you create independently (photos, videos, captions) must still comply with Section 5 below.

5. Content, Product Claims & Compliance

When promoting Lumnae products, you agree to:

• Use only the approved certification language: the LED Face Mask is described as "FDA 510(k) Cleared, Class II"; the ONE, PLUS and PRO panels are described as "FDA Registered, Class II, 510(k) Exempt" — never describe the panels as "FDA cleared".
• Never disclose Lumnae's FDA 510(k) clearance number, supplier or manufacturer names, or any other confidential information shared with you, whether provided privately or found elsewhere.
• Never use medical claims such as "cures", "treats", or "heals" any condition, and never state or imply a guaranteed result.
• Never cite unsourced statistics (e.g. specific % improvements) unless supplied and approved by Lumnae.
• Always recommend that your audience or patients consult their own doctor before use, particularly regarding pregnancy, active cancer treatment, photosensitivity, epilepsy or other contraindications.
• Disclose the nature of your relationship with Lumnae (gifted product, affiliate link, paid partnership) in line with applicable advertising and influencer-disclosure rules.
• If you are a medical or healthcare professional, ensure your content does not imply an official clinical recommendation or endorsement beyond your genuine professional opinion.

Lumnae reserves the right to request removal or correction of any content that does not comply with this Section.

6. Prohibited Conduct & Fraud

The following are strictly prohibited and may result in forfeiture of commissions and immediate removal from the Program:

• Purchasing through your own affiliate link or coupon code, directly or through a third party acting on your behalf.
• Cookie stuffing, click spamming, or any artificial inflation of clicks or referrals.
• Bidding on Lumnae's brand name or trademarks (e.g. "Lumnae", "lumnae.com") in paid search advertising.
• Misrepresenting Lumnae, its products, or your affiliation with Lumnae.
• Any conduct that violates applicable law or the terms of service of the platform you use to promote Lumnae (Instagram, TikTok, Google, Meta, etc.).

Lumnae's fair use policy gives it the right to review any referral order and to withhold commission where fraud or abuse is reasonably suspected.

7. Cookie & Tracking

• Lumnae uses cookies to track visitors who click your affiliate link. If a visitor does not accept, or later clears, cookies, Lumnae cannot track their activity and cannot pay you a commission on it.
• The cookie duration is set out on your Program registration/dashboard. Tracking starts from the click on your link or use of your coupon code; the customer does not need to click your link again for a later purchase made within that window.

8. Content Ownership & Usage Rights

• You retain ownership of the content you create.
• By sharing raw footage, photos or videos featuring Lumnae products with us, you grant Lumnae a non-exclusive, royalty-free, worldwide licence to repost, edit and use that content on Lumnae's own website, social media, ads and marketing materials, with credit to you where reasonably practicable.
• Lumnae will not use your content in a way that implies a broader endorsement or relationship than actually exists, without your consent.

9. Term, Termination & Removal

• You may leave the Program at any time by contacting contact@lumnae.com.
• Lumnae may suspend or remove any Affiliate from the Program at its sole discretion, including (but not limited to) for breach of these Terms, inappropriate or misleading content, unauthorized medical claims, or any conduct described in Section 6.
• Commissions earned on valid, completed orders prior to removal remain payable, subject to Section 3.

10. Independent Contractor Status

Your participation in the Program does not create an employment, agency, partnership or joint venture relationship between you and Lumnae. You are solely responsible for any tax or regulatory obligations arising from commissions you earn.

11. Confidentiality

Any non-public information shared with you in connection with the Program — including FDA documentation, supplier or manufacturer details, pricing, or unreleased products — is confidential and must not be disclosed to any third party without Lumnae's prior written consent.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of Dubai, UAE.

13. Amendments to These Terms

Lumnae may amend these Terms at any time. Material changes (e.g. commission rate, payment terms) will be communicated to active affiliates in advance. Continued participation in the Program after such changes constitutes acceptance of the updated Terms.

This Privacy Policy describes how personal data is collected, used and protected within the Lumnae Affiliate Program (the "Program"), operated by ELM Company FZ-LLC, trading as Lumnae ("Lumnae", "we", "us"), a UAE-based company.

It applies to affiliates who join the Program, and to customers whose orders are referred through it. By joining the Program, you agree to this Privacy Policy. If you do not agree, you must not use the Program.

1. Data Controller

• For data collected directly for the purpose of running the Program (registering you as an affiliate, evaluating your application, paying commissions, shipping gifted products to you), Lumnae (ELM Company FZ-LLC) is the data controller.
• The Program is operated using UpPromote, a third-party affiliate-tracking application. UpPromote processes certain data (registration details, referral tracking, order data) on Lumnae's behalf as a data processor, under its own privacy policy for the technical operation of the app.

2. Information Collected From Affiliates

When you register for and participate in the Program, we (directly or through UpPromote) collect:

• Contact details: name, email address, social media handles/profile links.
• Payment details: bank account or IBAN, or other payment information needed to pay commissions.
• Delivery address and phone number, where gifted products are sent to you.
• Any other information you choose to provide (e.g. professional credentials, for medical/healthcare affiliates).

This information is used to evaluate your application, administer the Program, pay commissions, ship products, and contact you about the Program.

3. Information Collected via Referral Orders

To track and pay commissions on referred sales, UpPromote collects order-level information from lumnae.com when a customer completes a purchase through your affiliate link or coupon code: order total, items purchased, and order ID. This does not give you access to the customer's personal contact details.

4. Legal Basis & Compliance

Lumnae processes personal data in accordance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL). We process your data on the basis of: performing our contract with you (running the Program, paying commissions), your consent where required, and our legitimate interest in operating and improving the Program.

5. Cookies & Tracking

UpPromote places cookies on a visitor's device to track referral clicks and coupon usage, so commissions can be correctly attributed. If a visitor does not accept, or later clears, cookies, we cannot track their activity or attribute a resulting purchase to you. More on cookies generally: allaboutcookies.org.

6. Data Retention

We retain affiliate data for as long as you are active in the Program, and for up to 24 months after your last activity, to comply with accounting, tax and legal obligations and to resolve any disputes. You may request earlier deletion under Section 11 (Your Rights), subject to our legal retention obligations.

7. International Data Transfers

Some of our service providers, including UpPromote, may process data outside the UAE. Where personal data is transferred internationally, we take reasonable steps to ensure it receives a comparable level of protection, in line with PDPL requirements on cross-border data transfer.

8. Security Measures

We use reasonable technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure or destruction, including restricted internal access to affiliate payment and contact details and reliance on UpPromote's own platform security for tracking data.

9. Information Sharing

We do not sell your personal information. We share it only with:

• UpPromote, to operate the affiliate tracking and payment platform.
• Payment providers, to process commission payouts.
• Shipping and logistics partners (e.g. Jeebly), to deliver gifted products to you.
• Any other third party, with your prior consent, or where required by law.

These providers may only use your data to perform their function for us, and must handle it in line with this Policy.

10. Children's Data

The Program is not intended for children. Affiliates must be at least 18 years old to register and participate.

11. Your Rights

Under the UAE PDPL, you have the right to access, correct, amend, delete, port, or restrict the use of your personal data, subject to applicable exceptions. To exercise these rights, contact us at contact@lumnae.com. We may ask you to verify your identity before acting on your request.

If your request concerns data held only within UpPromote's platform, we will forward it to UpPromote as our processor to action on our behalf.

12. Changes to This Policy

We may update this Privacy Policy from time to time to reflect changes in our practices or for legal reasons. Continued participation in the Program after changes are posted constitutes acceptance of the revised Policy.
